Trove Club Membership Program Terms and Conditions

01 · Introduction and Acceptance

These Trove Club Membership Program Terms and Conditions (these “Program Terms”) constitute your agreement with Trove Inc. (“Trove,” “we,” “our,” or “us”) in connection with your participation in Trove’s membership program (the “Trove Club”) and how you earn and use Trove Club rewards points (“TroveCash”). By participating in the Trove Club, you agree to be bound by these Program Terms, our terms and conditions, and our privacy policy, each incorporated by reference herein (collectively, the “Other Agreements”). If you do not agree to these Program Terms and the Other Agreements, you may not participate in the Trove Club. In the event of any conflict between these Program Terms and the Other Agreements, these Program Terms shall control, but only to the extent necessary to resolve the conflict. Capitalized terms not defined herein shall have the meanings ascribed to them in the Other Agreements. We reserve the right to change or modify these Program Terms at any time and in our sole discretion, with or without notice to you. You understand that your continued use of the Platform or Services constitutes acceptance of any amended or modified Program Terms.

02 · Trove Club Overview

The Trove Club is a membership and loyalty rewards program through which eligible Account holders (“Eligible Participants”) may earn and redeem TroveCash in connection with qualifying activities on the Platform. Although TroveCash may be denominated in U.S. dollars and represent a promotional loyalty balance that may be applied toward eligible purchases and other qualifying activities on the Platform, you understand and agree that TroveCash is not cash, currency, legal tender, stored value, a gift card, or any other form of monetary or financial instrument. You further understand and agree that TroveCash does not have any cash value, does not carry any property rights, and cannot be used outside the Platform. TroveCash represents only a limited, revocable license to apply a promotional credit towards eligible transactions on the Platform. TroveCash is not redeemable for cash and cannot be transferred, assigned, sold, or distributed by you to others.

03 · Eligibility

You understand and agree that to participate in the Trove Club, you must: (i) have a valid Account with Trove in good standing; (ii) have successfully completed Trove’s identity verification process; (iii) be at least eighteen (18) years old; (iv) not be located in a Prohibited Jurisdiction; and (v) accept these Program Terms.

The Trove Club is intended for personal use only, and commercial use is strictly prohibited. Participation in the Trove Club is limited to one Account per person, and you understand and agree that maintaining multiple Accounts constitutes a material breach of these Program Terms and the Other Agreements. There is no fee to participate in the Trove Club.

04 · Earning TroveCash

Eligible Participants may earn TroveCash as determined by Trove from time to time either: (i) as set forth under specific Promotion Terms; or (ii) under the current Trove Club season terms (the “Season Terms”) attached hereto as Appendix A, which may be amended from time to time by Trove in its sole discretion (in each case, a “Qualifying Activity”). The specific Qualifying Activity that qualifies you to earn TroveCash, the applicable earn rates, and any limitations or conditions thereon shall be established by Trove in its sole and absolute discretion. You understand and acknowledge that Promotion Terms and/or the Season Terms may be modified, suspended, or discontinued at any time without prior notice. Trove reserves the right to make the final determination, in its sole discretion, as to whether a Qualifying Activity has been satisfactorily completed and whether TroveCash may or may not be earned for such activity.

You understand and agree that:

Only the portion of a qualifying purchase that is funded with your Account balance or fiat currency (e.g., credit card, debit card, Apple Pay, or other payment method) shall be eligible to earn TroveCash. For the avoidance of doubt, you understand and agree that the portion of any purchase funded with TroveCash will not earn you additional TroveCash.
Trove reserves the right, in its sole and absolute discretion, to determine what constitutes a Qualifying Activity and to establish, modify, or discontinue earn rates, promotional multipliers, and eligibility criteria at any time without prior notice.
TroveCash earned in connection with a transaction that is subsequently reversed, refunded, or determined to be fraudulent may be debited from your TroveCash balance.

You understand that once you perform a Qualifying Activity, unless otherwise specified under specific Promotion Terms, it may take up to twenty-four (24) hours for the TroveCash earned to appear and be credited to your Account. TroveCash may initially appear as “pending” and will be converted to “awarded” at the end of a clearing period, as determined by Trove in its sole discretion, following the date of the applicable Qualifying Activity (the “Clearing Period”). TroveCash that are pending in your Account during the Clearing Period are not available for redemption or use. If a transaction or activity associated with pending TroveCash is cancelled, reversed, refunded, or otherwise voided during the Clearing Period, the associated pending TroveCash will not be awarded.

05 · Use of TroveCash

Subject to these Program Terms and provided your TroveCash balance is sufficient, you may redeem your available TroveCash to purchase eligible Trove Packs (“Eligible Trove Packs”) through the Platform. You understand that TroveCash may only be used to purchase Eligible Trove Packs via the Platform, unless otherwise determined by Trove in its sole discretion. You understand that TroveCash cannot be redeemed for cash, gift cards, or any other product or service, and cannot be used outside of the Platform. The redemption value of TroveCash (i.e., the number of TroveCash required to purchase an Eligible Trove Pack or offset the purchase price of an Eligible Trove Pack) will be determined by Trove in its sole discretion and is subject to change at any time, with or without notice. You may apply your available TroveCash combined with any other form of payment (an “Other Payment Method”) when purchasing an Eligible Trove Pack. If you purchase an Eligible Trove Pack with a combination of TroveCash and Other Payment Method, you understand that your TroveCash will be applied first. When you purchase an Eligible Trove Pack with TroveCash, whether in whole or in part, you will have the same option as if you had purchased a Trove Pack with an Other Payment Method subject the terms of the Other Agreements.

In the event of any fractional amounts arising from the application of TroveCash at checkout or from the conversion of earned rewards to TroveCash, such amounts shall be rounded to the nearest hundredth dollar (i.e., $0.01). Amounts that round less than $0.005 shall not be credited. Trove reserves the right, in its sole and absolute discretion, to determine the categories of purchases and activities for which TroveCash may be redeemed and to modify, expand, or restrict such categories at any time without prior notice.

In the event that a transaction funded in whole or in part with TroveCash is subsequently reversed, refunded, or otherwise unwound (whether by Trove, at your request, or as required by applicable law), the TroveCash applied to such transaction shall be returned to your TroveCash balance and credited back to your Account. For the avoidance of doubt, a refund or reversal shall not reset, extend, or otherwise modify the expiration date of any returned TroveCash. If TroveCash was earned in connection with a transaction that is subsequently reversed or refunded, Trove reserves the right to debit the corresponding TroveCash from your TroveCash balance. If your TroveCash balance is insufficient to cover such debit, Trove may carry a negative balance or offset the deficit against future TroveCash earnings.

06 · Expiration and Forfeiture of TroveCash

You understand that TroveCash is subject to an expiration date as displayed on the Platform or as set forth under specific Promotion Terms. Generally, TroveCash will expire at the end of the calendar month following the twelve (12) month period after you receive TroveCash, unless otherwise determined by Trove in its sole and absolute discretion or as otherwise set forth under specific Promotion Terms. You understand, acknowledge, and agree that when you spend your TroveCash, your “oldest” TroveCash will be spent first on a first-in, first out basis. Upon expiration, the applicable TroveCash shall be automatically forfeited and removed from your TroveCash balance without notice or compensation. Expired TroveCash cannot be reinstated, extended, or otherwise restored. Trove shall have no liability to you for any TroveCash that expire.

You are solely responsible for monitoring your TroveCash balance, including expiration dates, which may be viewed in the relevant section of the Platform.

07 · Prohibited Activities

You understand, acknowledge, and agree that TroveCash:

Is not withdrawable. TroveCash may not be withdrawn, cashed out, or converted to cash, cryptocurrency, or any other form of monetary value under any circumstances.
Is not transferable. TroveCash may not be sold, assigned, transferred, gifted, bequeathed, or otherwise conveyed to any other person, Account, or entity, whether voluntarily or by operation of law.
Is spend-only. TroveCash may only be redeemed toward eligible purchases and activities on the Platform as described under these Program Terms.
Is not property. TroveCash does not constitute property, does not create any vested right, and may be revoked or forfeited in accordance with these Program Terms.
May not be used as collateral, security, or for any purpose other than redemption on the Platform as expressly set forth herein.

Any attempt to, directly or indirectly, withdraw, transfer, sell, barter, or otherwise deal in TroveCash in violation of these Program Terms shall be null and void and may result in the immediate forfeiture of your entire TroveCash balance and/or the suspension or termination of your Account.

08 · TroveCash Clawbacks

If you receive or redeem TroveCash that Trove later determines was awarded in error or otherwise should not have been credited to your Account (including, without limitation, because a transaction associated with the earning of such TroveCash was subsequently reversed, refunded, or voided), Trove reserves the right to withhold or clawback any unredeemed TroveCash that was awarded in error, or to deduct any future TroveCash that you earn up to the amount of TroveCash that was awarded in error or otherwise should have been deducted from your Account.

09 · Non-Transferability

Your TroveCash and your participation in the Trove Club are personal to you and may not be sold, transferred, assigned to, or shared with others, or used by you for any commercial purpose. TroveCash is not transferable upon death or as part of a domestic relations matter or otherwise by operation of law. Your TroveCash may only be used by you through your Account.

10 · Suspension or Termination of Your Account

Without notice to you, Trove reserves the right to suspend and/or terminate your Account and/or your participation in the Trove Club if Trove determines in its sole discretion that you have violated these Program Terms or the Other Agreements, that you have more than one Account, or that the use of your Account is unauthorized, deceptive, fraudulent, or otherwise unlawful. Trove may, in its sole discretion, suspend, cancel, or combine Accounts that appear to be duplicative. In the event that your participation in the Trove Club is suspended or terminated, all accumulated TroveCash in your Account shall no longer be available to you and shall become immediately null and void. Trove reserves the right to take any or all of the remedial actions set forth in the Other Agreements, including, without limitation, unwinding, reversing, or voiding any transaction, forfeiting any and all funds, credits, or balances in your Account, and pursuing any and all other remedies available at law or in equity.

11 · Modifications and Termination of Trove Club

Trove reserves the right to change, modify, or cancel any aspect of these Program Terms or the Trove Club at any time, for any reason, with or without notice, and in its sole discretion. You agree to any updates to these Program Terms by continuing to participate in the Trove Club. Trove reserves the right to change, suspend, or discontinue all or any part of the Trove Club at any time without prior notice or liability.

12 · Tax Liability

TroveCash earned through your participation in the Trove Club may be subject to federal, state, and local tax liability. You are solely responsible for any and all tax liability, including disclosure and reporting obligations, resulting from your participation in the Trove Club, including, without limitation, the receipt, accumulation, or redemption of TroveCash. Trove does not make any representations or warranties regarding any tax implications arising from the receipt of TroveCash, the redemption of TroveCash, or participation in the Trove Club. You are required to complete all required tax forms, make all required tax filings, and pay all required taxes relating to the receipt, accumulation, or redemption of TroveCash or participation in the Trove Club. You agree to provide Trove with accurate information necessary for Trove to complete any applicable tax forms. You will indemnify and hold Trove, its parent, subsidiaries, affiliates, officers, and employees harmless from any claim or demand made by any third party (including, without limitation, all costs and attorneys’ fees) due to or arising out of any failure by you to comply with this section.

13 · Disclaimer of Warranties

THE TROVE CLUB AND ALL THE INFORMATION ACCESSIBLE THROUGH IT ARE PROVIDED FOR INFORMATION PURPOSES ONLY ON AN “AS IS” AND “AS AVAILABLE” BASIS. TROVE AND ITS AFFILIATES MAKE NO WARRANTIES, REPRESENTATIONS, OR GUARANTEES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO, THE OPERATION OF THE TROVE CLUB, THE ACCURACY, CURRENCY, OR COMPLETENESS OF INFORMATION, MATERIALS, CONTENT, AVAILABILITY, AND PRODUCTS. TROVE DISCLAIMS ALL WARRANTIES, INCLUDING, BUT NOT LIMITED TO, THE WARRANTIES OF TITLE, MERCHANTABILITY, NON-INFRINGEMENT OF THIRD PARTIES’ RIGHTS, AND FITNESS FOR A PARTICULAR PURPOSE. THE TROVE CLUB AND/OR ANY OF ITS FEATURES MAY BE UNAVAILABLE, INACCURATE, OR INTERRUPTED FROM TIME TO TIME FOR A VARIETY OF REASONS. TROVE IS NOT RESPONSIBLE FOR ANY UNAVAILABILITY, INTERRUPTIONS, OR ERRORS OF THE TROVE CLUB OR ITS FEATURES.

14 · Limitation of Liability

IN NO EVENT SHALL TROVE, OR ITS RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, PARENTS, SUBSIDIARIES, OR AFFILIATES (COLLECTIVELY, THE “TROVE PARTIES”) BE LIABLE FOR SPECIAL, INDIRECT, PUNITIVE, EXEMPLARY, OR CONSEQUENTIAL DAMAGES, INCLUDING LOST PROFITS, REVENUES, OR SAVINGS, EVEN IF SUCH TROVE PARTY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES IN ADVANCE. IN NO EVENT SHALL THE TOTAL CUMULATIVE LIABILITY OF THE TROVE PARTIES FOR DIRECT DAMAGES ARISING UNDER THESE PROGRAM TERMS OR RELATING THERETO EXCEED ONE HUNDRED DOLLARS ($100). BECAUSE SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF LIABILITY FOR NEGLIGENCE, CONSEQUENTIAL, INCIDENTAL, OR OTHER DAMAGES, IN SUCH JURISDICTIONS OUR LIABILITY IS LIMITED TO THE GREATEST EXTENT PERMITTED BY APPLICABLE LAW. YOUR SOLE AND EXCLUSIVE REMEDY FOR DISSATISFACTION WITH THE TROVE CLUB IS TO STOP PARTICIPATING IN THE TROVE CLUB.

15 · General Provisions

Governing Law: These Program Terms and any action related thereto will be governed by the laws of the State of New York without regard to its conflict of laws provisions. Proceedings commenced by Trove to protect its intellectual property or confidential information shall be brought in the state or federal courts located in the State of New York.
Entire Agreement. These Program Terms, together with the Other Agreements and any other terms that you accept upon participating in the Trove Club, contain the entire agreement of the parties concerning the Trove Club and supersede all existing agreements and all other oral, written, or other communications between the parties concerning the subject matter hereof.
Severability. If for any reason any provision of these Program Terms or portion thereof is found by a court of competent jurisdiction to be unlawful, void, or unenforceable, that provision shall be deemed severable and shall not affect the validity and enforceability of the remainder of these Program Terms, which shall continue in full force and effect. The invalid or unenforceable provision shall, to the greatest extent possible, be deemed superseded by a valid, enforceable provision that most closely matches the intent of the original provision.
Waiver. The failure of Trove to enforce any provision of these Program Terms shall not constitute a waiver of that provision or any other provision hereof. No waiver shall be effective against Trove unless made in writing, and no such waiver shall be construed as a waiver in any other or subsequent instance.
Headings. The section headings used in these Program Terms are for reference purposes only and shall not affect the meaning or interpretation of the provisions hereof.
Compliance with Law. You shall comply with all laws, rules, and regulations which are now or hereinafter promulgated by any government authority or agency which govern or apply to the Trove Club.
Successors and Assigns. These Program Terms will inure to the benefit of Trove’s successors, assigns, licensees, and sublicensees.

Appendix A · Trove Club Season Terms

Effective as of: July 1, 2026

Season Name: Trove Club Season 1
Season Period: The Trove Club Season 1 shall begin at 8:00 AM EST on July 1, 2026 and ends at 11:59 PM EST on August 23, 2026 (the “Season Period”).
Qualifying Activities: During the Season Period, Eligible Participants may earn TroveCash by purchasing qualifying Trove Packs (“Season 1 Trove Packs”) as indicated on the Platform.

TroveCash Earn Rate: For each Season 1 Trove Pack purchased during the Season Period, Eligible Participants shall earn a variable rate (ranging from 0.25% to up to 1%) (the “Earn Rate”) depending on the amount of cash and TroveCash used when making a Season 1 Trove Pack Purchase, where one (1) unit of TroveCash equals $1.00 USD. The below is an illustrative example of the TroveCash Earn Rates during the Season Period:

Changes to These Season Terms: Trove reserves the right to change or modify these Season Terms at any time and in its sole discretion, with or without notice to you. You understand that your continued participation in the Trove Club constitutes acceptance of any amended or modified Season Terms. You further understand that Earn Rates are subject to change at any time during the Season Period, as determined by Trove in its sole discretion. The Earn Rate reflected at checkout via the Platform at the time of purchase shall govern.
